Allcare Dental Equipment/Assets Sold in Bankruptcy Court



The sale was yesterday and that should be the end of the road for AllCare Dental.

A bankrupt New York-based dental chain that abruptly closed offices in 13 states last year has sold off virtually all of its equipment to pay creditors, executives said at a bankruptcy meeting Monday.

Some equipment remains in a Greensburg, Pa., office because the landlord has denied access to the building, Allcare Dental Management's chief executive officer, David Pennington, and its president, Dr. Robert Bates, said. Patient files have been transferred to other dental practices, except for a box full of charts from one office whose location is unclear, the executives said.

Buffalo-based Allcare Dental Management Inc. and 14 related companies filed for Chapter 7 liquidation last month in U.S. Bankruptcy Court, nearly a year after running out of money. Without warning patients, the company closed more than three dozen offices in New York, Illinois, Iowa, Massachusetts, Michigan, New Hampshire, North Dakota, Nebraska, Ohio, Pennsylvania, Tennessee, West Virginia and Wisconsin.

The closing prompted lawsuits by patients who said they'd prepaid for services they never received, as well as investigations by attorneys general in New Hampshire, Indiana and elsewhere.

Of course, there will be the continuing investigations by the various attorney's generals of the different states and the associated lawsuits (but if there is no money, then...).

However, I would not be surprised if there were criminal investigations/prosecutions into the operations of Allcare Dental.

Neither Pennington nor Bates would comment following Monday's initial creditors hearing, during which they explained how Allcare operated but not how it failed.

Bates said that as president and the only shareholder of each Allcare office, he trained the dentists on denture fabrication, covered for them on days off and for several years after the company was incorporated in 2001 worked six days a week in the clinics.

Pennington ran the parent company, Allcare Dental Management Inc., which owned another entity, Allcare Dental Management LLC that provided advertising and staffing for the various locations, arranged leases and purchased equipment. The branch offices paid management fees to Allcare LLC, which were derived from patient fees, Pennington said.

The executives acknowledged that patients sometimes paid in advance for work. At the time of the closing, Allcare said it couldn't tell patients of the closing because its phone and computer service had been shut down.

Allcare Dental Files for Bankruptcy - No Assets in $3.6 Million Filing



It was almost a year ago that Allcare Dental and Denture precipitously closed up shop.

Why?

Because its telephone and computers were shut down and they could not warn patients.

Whatever and I don't quite believe this spin.

In any case, Allcare has filed for a Chapter 7 liquidation bankruptcy.
A New York dental chain that closed offices in 13 states, including Pennsylvania, without warning late last year lists no assets and liabilities of $3.6 million in a bankruptcy filing.

Allcare Dental Management filed for Chapter 7 liquidation this month in U.S. Bankruptcy Court in Buffalo. The filing shows the suburban Buffalo-based company owns no real estate and has no cash on hand.
There will be a creditors meeting in Buffalo, New York on December 12.

Don't look for any assets to be used for patient reimbursements for pre-paid dentistry.

Word to the wise dental patient.

NEVER pre-pay for dental services in a corporate dental office or accept a large line of credit which they can access at any time.

Heartland Dental Care Acquires Neibauer Dental Corporation With 26 Offices



The consolidation of corporate dental offices continues.
Heartland Dental Care, a leading dental services organization, is pleased to announce that it has acquired Neibauer Dental Corporation (NDC), a dental practice management company which manages 26 Neibauer Dental Care offices in the Virginia and Maryland suburbs of Washington D.C.  Chris Neibauer, DDS, the principal shareholder of NDC, will continue to serve as president of NDC which will become a wholly-owned subsidiary of Heartland Dental.

Dentistry due to the economic recession has been identified as a slow growing business sector.

I cannot help but think with the bankruptcy of Allcare Dental earlier in the year and now with some acquisitions by larger corporate interests, that Heartland Dental Care is getting a good price to expand their operations into states where they have not had a presence.

If Heartland remains profitable, I look for them to acquire more offices as more and more baby boom dentists retire and sell their offices.

Ohio Attorney General Sues Allcare Dental Over Alleged Violations of Consumer Laws



Well, we knew this was coming after January's abrupt shut down of the Allcare Dental offices.
The Ohio Attorney General filed a lawsuit today against Allcare Dental & Dentures which alleges the company violated Ohio consumer laws after it abruptly closed its offices in January without providing dental products and services for which its patients had already paid.

The action comes after the attorney general's office received more than 940 complaints against Allcare, mostly involving failure to deliver, spokesman Dan Tierney said. In their complaints, consumers disputed about $2 million in payments to Allcare, he said.

Allcare, based in New York, unexpectedly closed offices in more than a dozen states in January. The closings included 38 Allcare offices statewide, among them two Columbus locations on W. Broad Street and E. Livingston Avenue

Allcare canceled all scheduled appointments with no notice to consumers, most of whom paid for a year's worth of dental services in advance, said Ohio Attorney General Mike DeWine.

"In some cases, Ohioans went weeks and months without dentures, or they scrambled to retrieve their dental records and quickly find a new provider," he said in a statement. "We want to do everything we can to protect these consumers."

James M. McGovern, a Columbus-based attorney who represents Allcare, was unavailable for comment. The company posted its final consumer correspondence on its website, www.allcareinfo.com, advising consumers to seek services at their own cost if they are in need of emergency dental care.

Ohio is seeking restitution and a $25K fine ofr each violation.
If and when this issue makes it into court, there will be a bankruptcy filing and a restructuring of the company. The only restitution for the patients would be a possible criminal conspiracy indictment against the owners of Allcare Dental.

But, I doubt this will happen.

A failed business model is not a crime.

By the way, there is a lesson to be learned here for corporate dentistry and their patients.

Allcare Dental Has Transferred Nearly All Patients



The transfer of most patients in the Allcare Dental chain is almost complete in about two months.
Two months after a dental chain abruptly closed its offices in 14 states, it has transferred patients to other practices in all but four locations: one office each in Massachusetts and Ohio, and both offices in New Hampshire.

New York-based Allcare Dental and Dentures closed in January, leaving many patients with partially-completed work they had already paid for in full. With a few exceptions, the company since has reached agreements with other dentists to transfer patients.

Patients of Allcare Dental's former Evansville office should be able to gain access to their dental records. Transitions Dental Company, a West Lafayette-based dental practice with multiple Indiana offices, stepped forward in January to take possession of dental records from Allcare's eight Indiana offices, including one in Evansville.
I figured other dental offices would step up but litigation through the bankruptcy court to recover lost money will take years - if ever.

These type of problems occurred earlier in the 1900's and many state dental boards prohibited or heavily regulated "corporate" dentistry. But, lately, the boards have lightened up the regulation and more professional practice organizations came to the marketplace.

Now, it is let the dental patient beware.

Bankruptcy Looms for Allcare Dental



I knew that a bankruptcy filing would be in Allcare Dental's future.
An attorney representing Allcare Dental & Denture said Wednesday a bankruptcy filing is imminent, though the company’s immediate focus is on connecting patients to other providers.

Paul Cambria, a partner in Lipsitz Green Scime Cambria LLP, said he is one of several attorneys working with the company since it shut down abruptly in late December after a financing plan fell through.

In the weeks since, Cambria says, about 60 percent of the patient load — more than one million patients in 13 states — have been transferred to other dental practices to complete work in progress, much of it pre-paid dental procedures and dentures. Allcare Dental’s owner, Dr. Robert Bates, has been working 15 hours a day to finalize those agreements, he says.

“We’ve been trying to transition patients and records,” Cambria says. “Unfortunately, it was a failed business. The lending crunch caught up with this business as it has with a number of others. They had a number of professionals working with them, trying to recapitalize the business, but ultimately their legal advisors with regard to financing and refinancing advised them to close down.”
Cambria's comments are the first made by the failed company since the company shut its doors at the end of last year. Previously, the company has communicated off and on through its website.

Thankfully, in the latest posting found here, there has been more of an effort to transition patients and records.


But, I don't think this will end the headache for the owner's, Dr. Robert Bates and David Pennington, who are being sued civilly and being investigated by a number of dental boards and state attorney generals.

Emergency Dental Care USA Offers to Treat Iowa AllCare Dental Patients



This is a pretty generous offer from Emergency Dental Care USA.
The owner of a Des Moines dental practice is offering to complete treatment for patients of Allcare Dental & Dentures, which closed abruptly Dec. 31, 2010.

Michael Obeng, DDS, owner of Emergency Dental Care USA, said his dentists and staff in the Des Moines office will complete all unfinished dental work at no additional cost to Des Moines Allcare patients who can provide proof that they prepaid for the work.

Allcare closed its operations without advance notice due to cash flow difficulties, company officials said. Its Web site and phone lines also have been shut down. Information is being posted at http://allcareinfo.com./

Emergency Dental Care USA and Allcare reached an agreement last week to transfer records and complete work that had been started. The transfer of records was officially completed on Jan. 5.

The Emergency Dental Care USA staff also plans to canvass those records to find patients who have paid for dental work that has not been completed.

"We know there are several patients out there who are in pain because they started work that hasn't been completed," Dr. Obeng said. "We want to locate these patients as quickly as possible and schedule appointments for them so we can finish their treatment and relieve their discomfort."

Emergency Dental Care USA will honor warranties on dentures as well.

Finally, another dental management company makes a deal with the former Allcare Dental in order to take care of their former patients. I suspect there will be more such deals as Allcare begins to liquidate its dental practices in the various states.

Allcare Dental in Pennsylvania Transfers Patient Records




Allcare Dental & Dentures in Erie agreed to send the dental and laboratory records for all patients to Esser Family Dental by Saturday.
Acting Pennsylvania Attorney General Bill Ryan announced on Friday that his office has reached an agreement with a former dental office to transfer its medical records to another dental office.

Allcare had business offices in Erie and operated dental practices in 13 additional states. AllCare closed all its locations at the beginning of January citing cash-flow problems. Customers were left without answers and thousands of complaints flooded the offices of state attorneys general around the country, Ryan said.

Under the agreement, Erie patients can access their records at Esser Family Dental or may re-transfer copies of their records to any other health care provider of their choice.

"The Health Care Section continues working to assist Allcare patients across Pennsylvania and throughout the country who have filed hundreds of complaints since the dental chain suddenly closed its doors at the beginning of January," Ryan said. "Our investigation into the sudden closure is ongoing, as are our efforts to gain access to consumers' personal medical records."

The agreement requires that all records remain confidential.

Furthermore, the agreement gives Esser Family Dental permission to take custody of all dental work in progress, including any dental prostheses that are located at the Erie Allcare office.
This is a good development for the folks in Pennsylvania and slowly but surely Allcare Dental records are being transferred in the various states.

I am very surprised that Allcare Dental assets, including patient records have NOT been sold and another company taken over. Might it be that Allcare Dental will soon seek Chapter 11 Bankruptcy protection and then sell certain ofices through the bankruptcy court?

Allcare Dental Sued in Ohio Federal Court



And, so the lawsuits begin.
Two former Allcare Dental & Dentures patients from Ohio have filed a federal lawsuit accusing the company of knowingly taking payments for dental services and equipment it knew it would not deliver.

In the 15-page complaint, filed Tuesday in U.S. District Court for the Northern District of Ohio, Jim Crowl of Mansfield and Gabe Williams of Dayton said they and other patients paid up to thousands of dollars for dental care they never received because the offices closed without warning.

The two are seeking class action status in Ohio and nationwide, because Allcare at one point had 58 offices in 14 states, including 38 in Ohio.
Now, watch for the bankruptcy filings by Allcare Dental and its major officers to stave off the creditors. Now, fraud, if it can be proven is exempt from bankruptcy protection. But to prove it will entail extensive litigation.

Then, will there be any assets left to divide among the patients?

Indiana Allcare Dental Patients Transferred to Transitions Dental

Well, at least Indiana Allcare patients know where their dental records and old lab cases are.

Former patients of Allcare Dental and Dentures could soon have an answer to their service needs.

According to a press release, Allcare has signed a Chart Transfer Agreement with Transitions Dental Company for the entire state of Indiana.

Transitions Dental Company's Web site states the company should have all charts of Allcare patients within seven days. But the Web site does say the company has "little to no financial data about your individual account," the company "will not give refunds for any work Allcare has or has not completed," and Transitions "will not warranty nor fix any Allcare dental work."

Transitions Dental Company has scheduled a press conference for Monday to inform former Allcare patients how they can access their dental records and receive care.

A nice gesture by this dental company, but again, gives little solace to patients in the middle of treatment or who have prepaid for treatment not yet rendered.

Not really a great deal, the free x-rays and exam. But, I suppose it is better than nothing.

There will be a sales pitch on what treatment needs exist and if the patient can withstand that, then there is some value in the offer.

Again, Heartland Dental, unless they purchase Allcare Dental (which they could) will not be able to refund any money that has previously been paid or complete any in-treatment services.

Video: Case Western University Dental School to Help Allcare Dental Patients

 
Wow! This is great and how about Dr. jerry Faist, a family dentist from Beachwood, Ohio? What a terrific person and dental professional.
You can always count on Northeast Ohioans to step up when their neighbors are in trouble.

The Dean of Case Western Reserve University's Dental School says the faculty and students will be teaming up with Cleveland's Free Clinic to help meet the needs of former patients from Allcare Dental and Dentures.

The national chain of dental clinics closed on January 3, leaving local customers without their medical records or access to the appliances for which they'd already paid.

Dr. Jerry Faist, a family dentist from Beachwood, is also pitching in. He's offered to make a full set of dentures for 86 year old Joseph Franco of Strongsville, after learning the elderly man never received the dentures he paid for. Franco's total bill, which included several teeth extractions, came to $6,600.

"Figured maybe, maybe we could help the guy out," said Dr. Faist, "We're glad to help him."

But, the Free Clinic is asking for some volunteers.

A spokesperson for the Free Clinic says meeting the needs of former patients from Allcare Dental and Dentures is overwhelming its staff. In addition, volunteers are needed. The Clinic is asking dentists to give two hours a month to help meet the demands.

New Hampshire Forces Re-Opening of Allcare Dental Offices



The state of New Hampshire has come to the aid of dental patients who were left holding the bag when Allcare Dental and Dentures closed.
A national dental chain that unexpectedly shut down this week and left patients in the lurch in more than a dozen states reopened some New Hampshire offices temporarily Thursday under government pressure, while at least one care provider stepped in to fill a void in Ohio.

About two dozen people were crowded into a small waiting room at Allcare Dental and Dentures in Nashua 15 minutes after the office opened, and a steady stream of patients came and went throughout the morning. Most of their frustration was muted, though tempers occasionally flared.

"I'm not leaving here without my stuff. I went through hell with this company," said Korryn Cristini, who drove nearly two hours from Claremont to get her records and was disgusted to hear that X-rays were being sent to other dentists' offices to be copied and wouldn't be available until late afternoon.

Clarence, N.Y.-based Allcare unexpectedly closed offices in more than a dozen states this week. According to the Michigan attorney general's office, the affected states included Illinois, Iowa, Massachusetts, Michigan, New Hampshire, New York, North Dakota, Nebraska, Ohio, Pennsylvania, Tennessee, West Virginia and Wisconsin, but officials hadn't been able to confirm the list with Allcare.

After being contacted by the New Hampshire attorney general, the company opened its two locations there for one day Thursday so patients could retrieve records. Allcare executives have not returned repeated calls seeking comment.

Kathleen Goonan, who managed the Nashua dental office, sounded close to tears as she took a break from handling records requests.

"This has been miserable. These people put their faith in me," said Goonan, who got a call Dec. 31 saying the office was closing and she was being laid off.

"For it to close the way it did is heartbreaking," she said. "That's why I volunteered to come help."

Cindy Franks, 55, of Jaffrey, said she was grateful for the chance to get her records but said she couldn't afford to go someplace else.

"I'm on a fixed income, and I've been paying $68 a month for something I don't even have," she said.
Other states are considering actions as well.

I would recommend Allcare Dental patients seek out state Attorney General and/or state dental licensing board help in finding another dentist to take over their care, especially if they have an emergency condition.

Unfortunately, as far as reeimursements are concerned, those may be slow in coming and will probably be disbursed by a federal bankruptcy judge.

Allcare Dental Patients in Wisconsin Have an Option


It is the NWTC Dental Clinic.

A dental clinic that serves low income patients welcomes those who were treated by the now closed Allcare Dental & Dentures.

NWTC's dental clinic provides dental care to those on medicaid or other public assistance. Last year the clinic had over 900 patient visits.

The clinic offers basic dental care and some restorative procedures like crowns. College officials say it's just not equipped to meet other dental needs.

"Some of the things Allcare did, unfortunately, we don't do like dentures or partials or bridges. But we can help people if they're in a higher level of dental pain due to either severe decay or abscess," Scott Anderson, NWTC Associate Dean for Allied Health.

It is unfortunate that this dental clinic does not perform removable prosthetics e.g. dentures. However, if a patient is in pain, there is at least an option for the patient.

I think we will see more opportunities for patients from the dental community to step in for the failed Allcare Dental. Now, receiving remuneration for patients who have prepaid for dental care - that will be a different story.

Allcare Dental Out of Business Update January 5, 2011



As reported earlier Allcare Dental has closed its doors (many states) and gone out of business.

Here is today's update on Allcare Dental's interim website.

Dear Patients,

Please know that the allcare.com website was shut down Monday by our network provider. At this time, allcareinfo.com is the only official update site. Phone systems and Computer network/server are still down but Allcare is continuing to work to bring those back on.

Allcare is still continuing to work day and night to transfer patient records and unfinished dental work in the offices to dentists with offices located as close as possible to the closed Allcare locations. Also, working to get patient records made available.

As I said before, it would be a matter of days and/or weeks before another dental management company or group of dental offices would either purchase or assume patient care for Allcare Dental. The final financial arrangements may ultimately be handled by a federal bankruptcy court, however.

Patients of Allcare Dental should remain vigilant and contact their state dentistry board to apply pressure for a speedy resolution of continuing care issues and refunding of patient fees.

Video: Allcare Dental Closing Leaves Patients Without Money and Teeth

 

I suppose there will be a bankruptcy sale of this company but patients may have to wait many months to either file a money claim and/or to receive any dental work completed. Since dentistry is regulated on a state by state basis and bankruptcy court is federal, I don't quite know how remuneration for these patients will work.

If it works at all.

The various state boards of dentistry will be outraged but will have little recourse to hold corporate owners responsible who do not practice dentistry in their state.

Allcare Dental Closes Its Doors - Out of Business



Allcare Dental has gone out of business and closed its doors.
Amid rumors that its parent company is close to bankruptcy, Allcare Dental & Dentures has posted a sign on the front door of its office at the Lafayette Pavilions retail center informing customers that they closed effective Dec. 31.

"We are currently working to find dentists to continue your care. For further information go to allcareinfo.com or allcare.com," said the sign. "In the meantime, if you have a dental emergency go to the emergency room or call 911 or find another dentist of your choice at your own expense."

Calls to the company's local and corporate telephone numbers result in a disruptive busy signal. The website is being updated according to a message on it this afternoon, which also said attempts are being made to reactivate Allcare's phone and computer network.

We want to assure you that this sudden closing situation was not our intent; it was due to circumstances beyond our control that arose very quickly. We understand that you must be very upset and frustrated about this situation, but please allow us to begin to explain
the circumstances to some extent here on this site below.

We apologize that we were not able to contact you by phone to notify you of the situation, but our companywide phone system and patient information computer network was abruptly shut down by our outside network provider. The reason for the closing is because the business became severely cash constrained and had no way to continue to operate going forward. However, the projected closing date for that equity deal was missed and the company did not have the time it needed to get to a closing with the capital
group. Bridge financing was attempted to fill the financial gap but

At this time, Allcare is working hard to transfer patient records and unfinished dental work to dentists with offices located as close as possible to the Allcare offices that are now closed. Within the past 24 hours, we have already begun transitioning patients in certain areas to new dental offices. Those offices will be listed soon. Our efforts will continue and updates will be posted to this site informing you of where your dental records will be transferred and where you may want to go to continue and/or complete your dental treatment.
